**SERVICE AGREEMENT** THIS SERVICE AGREEMENT (the "Agreement") is entered into this 5th day of August, 2023 (the "Effective Date"), by and between Drewz Prompty, a corporation organized under the laws of North Carolina, with its principal office at 6000 Holy Smokes Rd, Charlotte, NC (the "Service Provider"), and Bill's Bob-Cat Rentals, a corporation organized under the laws of North Carolina, with its principal office at 1000 Fake Street, Charlotte, NC (the "Client"). 1. **DESCRIPTION OF SERVICES** The Service Provider agrees to provide the Client with prompt writing consultant services (the "Services"). The objective of the Services is to improve the Client's rental agreement prompt writing skills. 2. **DURATION OF SERVICES** This Agreement will begin on September 1, 2023 and will end on September 1, 2024, unless earlier terminated as provided herein. This Agreement may be extended by mutual agreement of the parties, with at least 30 days' notice prior to the end date. 3. **PAYMENT TERMS** The total cost for the Services will be $1,000,000. Payments will be made in equal installments on the first day of each month. Payments will be made by direct transfer. 4. **OBLIGATIONS AND RESPONSIBILITIES** The Service Provider agrees to deliver work on the 15th of every month and request approval for each segment. The Client agrees to provide all requirements within 48 hours of requests. 5. **PERFORMANCE STANDARDS** The Service Provider will be held to the performance standard of providing appropriate recommendations for improving the Client's writing skills. 6. **TERMINATION** This Agreement may be terminated by either party with a 60-day notice and a termination fee equal to 50% of the total contract amount. 7. **CONFIDENTIALITY** All information pertaining to this Agreement will be considered confidential. A breach of this clause will result in a $500,000 fine. 8. **INTELLECTUAL PROPERTY** The intellectual property resulting from the Services will be owned by the Client. 9. **INDEMNIFICATION** The Service Provider is not liable for any losses or damages resulting from the Services. 10. **DISPUTE RESOLUTION** Any disputes arising out of or in connection with this Agreement will be resolved through arbitration. 11. **FORCE MAJEURE** In the event of war, natural disaster, or other unforeseen circumstances beyond the control of either party, the Agreement may be rendered null and void with no additional payments and may be terminated by either party. 12. **GOVERNING LAW** This Agreement will be governed by and interpreted in accordance with the laws of North Carolina. 13. **ENTIRE AGREEMENT** This Agreement supersedes all prior agreements, understandings, negotiations, and discussions, whether oral or written, of the parties, and there are no warranties, representations, or other agreements between the parties in connection with the subject matter of this Agreement except as specifically set forth herein.
