1. RECITALS
1.1 Rajesh Mehta is the owner of a
residential apartment in Mumbai
Maharashtra India in respect of which
he wishes to commission interior
renovation works.
1.2 BuildRight Construction Pvt Ltd is
a licensed building contractor based
in Mumbai with the experience and
capacity to perform the interior
renovation works described in this
contract.

2. DEFINITIONS

3. SCOPE OF WORK
3.1 BuildRight Construction Pvt Ltd will
perform the following works at the
Client's apartment in Mumbai:
1. Complete kitchen remodel including
demolition, tiling, joinery, and
fitting of agreed fixtures.
2. Full renovation of two bathrooms
including demolition, waterproofing,
tiling, and installation of agreed
sanitaryware.
3. Flooring throughout the apartment
including removal of existing
flooring and installation of agreed
replacement flooring.
4. Painting of all internal walls and
ceilings throughout the apartment
in agreed colours and finishes.
3.2 All Works must be performed in a proper
and workmanlike manner in accordance
with applicable building standards.
3.3 Items not included in the Scope of
Work include structural works, external
works, electrical rewiring, and any
works not listed above. Additional
works require a signed variation order.
4. PAYMENT SCHEDULE
4.1 The total Contract Sum is INR 18,00,000
payable as follows:
1. INR 4,50,000 on signing this
contract (25 percent).
2. INR 4,50,000 upon completion of
structural demolition and substrate
preparation for kitchen and
bathrooms (25 percent).
3. INR 4,50,000 upon completion of
tiling, joinery, and fit-out works
(25 percent).
4. INR 4,50,000 upon practical
completion and handover (25
percent).
4.2 Retention of 5 percent will be withheld
from milestone payments 2 and 3 and
released 3 months after practical
completion subject to satisfactory
completion of all notified defects.
4.3 Each payment is due within 7 days of
the relevant milestone being achieved
and confirmed in writing by the
Contractor.
5. TIMELINE AND MILESTONES
5.1 Commencement date: August 1 2026.
5.2 Kitchen and both bathrooms complete:

5.3 Practical completion of all Works:
November 30 2026.
5.4 BuildRight Construction Pvt Ltd must
notify Rajesh Mehta promptly if any
milestone is at risk and both parties
must agree any revised program in
writing.
6. VARIATIONS
6.1 No variation to the Works will be
carried out without a signed written
variation order confirming the scope,
agreed price, and time impact.
6.2 Oral instructions to change the Works
do not constitute a valid variation
order.
6.3 The Contractor must submit a variation
quotation within 5 business days of
receiving a written variation request
from the Client.
7. DEFECTS LIABILITY PERIOD
7.1 The Defects Liability Period is 3
months from the date of practical
completion.
7.2 BuildRight Construction Pvt Ltd must
rectify any defect notified during
the Defects Liability Period at their
own cost within 14 days of notification.
7.3 Remaining retention is released upon
expiry of the Defects Liability Period
subject to satisfactory completion of
all notified defects.
8. INSURANCE
8.1 BuildRight Construction Pvt Ltd must
maintain throughout the Works period:
1. Contract works insurance covering
the full value of the Works.
2. Public liability insurance of not
less than INR 1 crore per event.
3. Workmen's compensation insurance
as required by applicable Indian
law.
8.2 Evidence of all insurance policies
must be provided to Rajesh Mehta
before works commence.
9. DISPUTE RESOLUTION AND GOVERNING LAW
9.1 Laws of Maharashtra India govern this
contract.
9.2 Disputes will first be addressed
through direct good-faith negotiation.
If unsuccessful, disputes proceed to
binding arbitration in Mumbai.
