FREELANCE SERVICE AGREEMENT This Freelance Service Agreement ("Agreement") is entered into as of March 20, 2026, between Sarah Johnson, doing business as SJ Design Studio ("Freelancer"), and Bright Coffee Co. ("Client"). PARTIES & PROJECT SCOPE Freelancer agrees to provide the following services: design of a complete brand identity package including primary logo, alternate logo variations, color palette, typography system, and a brand guidelines document (PDF, maximum 10 pages). This Agreement does not include: packaging design, signage, social media templates, website design, or any deliverable not explicitly listed above. Additional work may be scoped separately in writing. PAYMENT TERMS Total project fee: $2,500. Payment schedule: Deposit: $1,250 due before work begins on March 20, 2026. Final payment: $1,250 due upon delivery of final files. Late payment: Invoices unpaid after 15 days accrue interest at 1.5% per month. Kill fee: If Client cancels the project after work has begun, Client owes the deposit plus 25% of the remaining balance ($312.50), due within 7 days of cancellation notice. REVISION POLICY This Agreement includes 2 rounds of revisions. A revision round is defined as a consolidated set of feedback provided in a single communication. Each additional revision round beyond the 2 included rounds will be billed at $90/hour, invoiced separately, and due within 14 days. A new request (change of direction, new concept, or scope expansion) is not a revision and will be quoted separately. INTELLECTUAL PROPERTY All deliverables remain the property of Freelancer until final payment is received in full. Upon receipt of final payment, full intellectual property rights transfer to Client. Freelancer retains the right to display the work in their portfolio and marketing materials, unless Client provides written notice requesting otherwise within 30 days of project completion. CONFIDENTIALITY Both parties agree to keep all non-public project information confidential and not to disclose it to third parties without prior written consent. This obligation remains in effect for 2 years following project completion. INDEPENDENT CONTRACTOR STATUS Freelancer is an independent contractor, not an employee of Client. Client is not responsible for taxes, benefits, insurance, or any other employment-related obligations on behalf of Freelancer. LIMITATION OF LIABILITY Freelancer's total liability under this Agreement shall not exceed the total project fee of $2,500. Freelancer is not liable for any indirect, incidental, or consequential damages arising from this engagement. DISPUTE RESOLUTION The parties agree to attempt to resolve any dispute through good-faith negotiation within 30 days. If unresolved, disputes shall be submitted to binding arbitration under the rules of the American Arbitration Association. GOVERNING LAW This Agreement is governed by the laws of the State of California, United States.
