Freelancer and Client agree as follows: Introduction and Purpose: The purpose of this Agreement is to engage Freelancer to provide software development services to Client as described in Section 2 below. Scope of Services: Freelancer shall provide software development services to Client in accordance with the project timeline and deliverables set forth in the Statement of Work (“SOW”) attached hereto as Exhibit A. The software shall be responsive and shall pass all tests required by the Client. Payment and Expenses: Client shall pay Freelancer a fee of [$5000] per month for the services provided under this Agreement, payable in Bitcoin. Client shall also reimburse Freelancer for all reasonable and necessary expenses incurred in connection with the services provided under this Agreement, provided that such expenses have been pre-approved in writing by Client. Delivery of Work: Freelancer shall deliver all work product to Client electronically, as described in the SOW. Client shall have [5] business days from receipt of the work product to review and accept the deliverables. If the work product does not meet the acceptance criteria set forth in the SOW, Freelancer shall be required to revise and resubmit the work product within [3] business days. Client shall have one revision after the initial submission of the work product. Intellectual Property Rights: All intellectual property rights in the work product created by Freelancer in connection with the services provided under this Agreement shall be owned by Client. Freelancer hereby grants to Client a non-exclusive, perpetual, irrevocable, worldwide, royalty-free license to use, modify, and distribute such work product for any purpose. Independent Contractor Status: Freelancer is an independent contractor and nothing in this Agreement shall be construed as creating an employment, partnership, or joint venture relationship between Freelancer and Client. Freelancer shall be solely responsible for all tax obligations associated with the services provided under this Agreement. Term and Termination: The term of this Agreement shall be [6] months, commencing on the Effective Date. Either party may terminate this Agreement upon completion of the services set forth in the SOW. Upon termination, Freelancer shall immediately deliver all work product to Client and return any confidential information or materials provided by Client to Freelancer. Confidentiality and Non-Disclosure: Freelancer agrees to hold all Confidential Information of Client in strict confidence and shall not disclose any such Confidential Information to any third party without the prior written consent of Client. Confidential Information includes all information that is marked as confidential or proprietary, or that a reasonable person would consider to be confidential or proprietary. Governing Law and Jurisdiction: This Agreement shall be governed by and construed in accordance with the laws of the State of [USA]. Any dispute arising under or in connection with this Agreement shall be resolved exclusively by the state or federal courts located in [USA]. The parties hereby consent to the jurisdiction and venue of such courts. Entire Agreement and Amendments: This Agreement constitutes the entire agreement between the parties with respect to the subject matter hereof and supersedes all prior and contemporaneous agreements or understandings, whether written or oral. This Agreement may not be amended or modified except in writing signed by both parties. Signatures and Effective Date: This Agreement may be executed in counterparts and may be delivered by electronic means. Each counterpart and electronic copy shall be deemed an original, and all counterparts and electronic copies together shall constitute one and the same instrument. This Agreement shall become effective upon the date last
