LLC OPERATING AGREEMENT THIS OPERATING AGREEMENT ("Agreement") of Newco LLC (the "Company") is made and entered into as of the 15th day of February, 2023, by and among the members identified below. FORMATION OF COMPANY The Company is a limited liability company organized under the laws of the State of Wyoming. The Company shall have all of the powers and rights granted to limited liability companies under the laws of the State of Wyoming. NAME AND ADDRESS OF COMPANY The name of the Company is Newco LLC. The address of the Company is 123 Plain St., Arlington, TN 45454. REGISTERED AGENT The registered agent for the Company is LLC Registrations, 54 Main St., Smalltown, WY 23456. TERM The term of the Company shall commence on the date of the filing of the Articles of Organization with the Secretary of State of Wyoming and shall continue until the Company is dissolved in accordance with this Agreement or applicable law. PURPOSE The purpose of the Company is to engage in any lawful business for which limited liability companies may be organized under the laws of the State of Wyoming.
