Independent Contractor Agreement This Independent Contractor Agreement (“Agreement”) is made and entered into on the effective date of 01.01.2023 (“Effective Date”) between John, located at Street 1, USA (“Client”) and Lina, located at Street 2, USA (“Contractor”) to provide software engineering services (“Services”) on the terms and conditions set forth in this Agreement. Scope of Services: Contractor agrees to provide the Services to the Client, which include developing the IT infrastructure of a ChatGPT platform. The Contractor will perform the Services in a professional and workmanlike manner, in accordance with industry standards. Payment and Expenses: The Client agrees to pay the Contractor $5000 monthly for the Services rendered. The payment will be made on a monthly basis, within 15 days of the end of the month in which the Services are provided. The Contractor is responsible for all expenses incurred while providing the Services. Confidentiality and Non-Disclosure: The Contractor agrees to maintain the confidentiality of all information provided by the Client, including but not limited to business strategies, customer lists, and financial information. The Contractor agrees not to disclose this information to any third party without the prior written consent of the Client. Intellectual Property Rights: The Client will retain all rights, title, and interest in any intellectual property created by the Contractor while performing the Services under this Agreement. Independent Contractor Status: The Contractor is an independent contractor and not an employee of the Client. The Contractor has the right to control the manner and means by which the Services are provided. Term and Termination: This Agreement shall commence on the Effective Date and shall continue until the Services are completed or until terminated by either party upon written notice. In the event of termination, the Contractor shall be entitled to payment for Services performed up to the date of termination. Governing Law and Jurisdiction: This Agreement shall be governed by and construed in accordance with the laws of the State of USA. Any disputes arising under or in connection with this Agreement shall be resolved in accordance with the jurisdiction of the State of USA. Entire Agreement and Amendments: This Agreement constitutes the entire understanding between the parties and supersedes all prior discussions, understandings, and agreements between the parties, whether oral or written. No amendment or modification of this Agreement shall be valid or binding unless in writing and signed by both parties. Signatures and Effective Date: This Agreement may be executed in counterparts and may be executed and delivered electronically.
