Input THIS AGREEMENT is made on 1 Apr 2030 BETWEEN Blue Ocean International Insurance (Dubai) PTE. LTD, a company incorporated in Dubai company number 99999999D whose registered office is at 138 Goblin Street, #100-04, Trump Tower and [ BIG BLOKE SINGAPORE PTE. LTD. ], a company incorporated in Singapore. Company registration number 2234321567E, with its registered office at [ 65 PASIR ROAD, Singapore 11111 ] (Referrer). In consideration of the obligations contained in this agreement and subject to the terms and conditions below: (A) Blue Ocean grants a non-transferrable, non-assignable, royalty-free and non-exclusive licence to Referrer to: (i) use hyperlinks (the “Blue Ocean Hyperlink”) from any web pages designated by Referrer to Blue Ocean in writing (“Referrer Web Pages”) to Starr’s website located at https://www.starrinsurance.com.sg/ (“Blue Ocean Web Site”) and/or to such other web pages designated by Blue Ocean to Referrer in writing (“Blue Ocean Web Pages”); and (ii) use those Blue Ocean logos listed in Schedule 1 (the “Blue Ocean Trade Marks”) (B) The parties agree as follows: 1. It is agreed and understood that Blue Ocean is licensed to sell insurance in Singapore, and Blue Ocean Web Site is only to sell travel insurance to customers whose departure country is from Singapore. Referral shall ensure no misrepresentation is made with regard to Blue Ocean Hyperlink, Blue Ocean Web Site or Blue Ocean Web Pages. 2. Each party shall notify the other forthwith of any changes to the uniform resource locators (URLs) of their respective web sites and/or web pages so that each of them can effect immediate changes to such hyperlinks in order to be able to provide continuous, uninterrupted services to their respective customers. While each party will endeavor to provide continuous, uninterrupted services, neither party shall be liable to the other party with regard to any interruption or suspension of system or services. 3. The Blue Ocean Trade Marks cannot be modified or changed in any way and will only be used and posted on the Referrer Web Pages for the limited purpose of identifying Blue Ocean as the company that offer insurance products (as defined in the Schedule 2). Referrer agrees that the Blue Ocean Trade Marks will not be used for any other purpose. 4. Blue Ocean reserves the right to approve all use of the Blue Ocean Trade Marks and any hyperlinks to Blue Ocean Web Pages and to revoke this authorization to use the Blue Ocean Trade Marks and/or any hyperlinks to Blue Ocean Web Pages at any time in its sole discretion. If requested by Starr, Referrer agrees to promptly remove the Blue Ocean Trade Marks and/or any hyperlinks to Blue Ocean Web Pages from the Referrer Web Pages. 5. This authorization is only limited to the Blue Ocean Trade Marks referenced herein, and Referrer are not authorized to post or otherwise use any other logo or intellectual property belonging to Blue Ocean or its affiliates. 6. This agreement does not authorize either party to act or purport to act as an agent of the other and does not authorize either party to make any representation or give any warranty on behalf of the other to customers of the other. Referrer is only engaged to introduce and promote Blue Ocean Web Sites and Blue Ocean Web Pages, and shall not engage any insurance agency or brokerage activities during the performance of this agreement. 7. During the term of this Agreement, Blue Ocean shall pay to Referrer referral fee as set out in Schedule 2. Within 30 days after the end of each month, Blue Ocean shall provide to Referrer a statement of referral fee payable. Blue Ocean shall pay the referrer fee to Referrer within 60 days of the statement date. 8. The terms set out in this agreement shall continue in force unless terminated by either party by giving at least 30 days’ written notice to the other party. This agreement may also be terminated by either party immediately if the other party has breached any obligation under this Agreement and failed to rectify the same within 7 days after receiving written notice. Upon termination of this letter agreement, Referrer shall immediately cease hyperlinking to Blue Ocean Web Site and/or Blue Ocean Web Pages and cease all use of the Blue Ocean Trade Marks and remove the same from the Referrer Web Pages and/or all of Referrer’s web sites and from all other material including any promotional or advertising material. 9. This agreement and its terms shall be governed by, construed and interpreted in accordance with the laws of Singapore and the parties hereby submit to the non-exclusive jurisdiction of the Singapore Courts.
