Mutual Non-Disclosure Agreement This Mutual Non-Disclosure Agreement ("Agreement") is made and entered into on the date of signature below, by and between Erin's Photography, with its principal place of business at 123 Photography Way, England, and Employee number 1, with an address at 123 Best Employee Way ("Recipient"). 1. Parties The parties to this Agreement are Erin's Photography ("Disclosing Party") and Recipient. 2. Confidential Information For the purpose of this Agreement, Confidential Information shall mean any and all information that is proprietary or confidential to the Disclosing Party, including without limitation, trade secrets, financial information, customer lists, marketing strategies, business plans, and any other information that is not generally known or easily accessible to the public. 3. Scope of Confidentiality Obligations Recipient agrees to maintain the confidentiality of the Confidential Information and to use it only for the purposes of providing services to Erin's Photography. Recipient further agrees to take reasonable measures to protect the Confidential Information from unauthorized access, use, or disclosure. Recipient's obligations under this Agreement shall continue for a period of 1 year after the termination of their employment with Erin's Photography. 4. Exclusions from Confidentiality Obligations The obligations of confidentiality and non-use set forth in this Agreement shall not apply to any information that: (a) is already known by Recipient prior to its disclosure by Disclosing Party; (b) is or becomes publicly available through no wrongful act of Recipient; (c) is received by Recipient from a third party without an obligation of confidentiality; or (d) is independently developed by Recipient without the use of Confidential Information. 5. Obligations of the Recipient Recipient shall not disclose, use, or exploit any Confidential Information for any purpose other than the purpose for which it was disclosed by the Disclosing Party. Recipient shall take all reasonable steps to safeguard the Confidential Information from unauthorized disclosure or use. Recipient shall immediately notify Disclosing Party of any unauthorized disclosure or use of the Confidential Information. 6. Disclosure and Permitted Uses Recipient may disclose Confidential Information only to employees, agents or contractors of Erin's Photography who need to know the information for the purpose of providing services to Erin's Photography. Recipient shall not disclose Confidential Information to any other third party without the prior written consent of the Disclosing Party. 7. Remedies for Breach Recipient acknowledges that any breach of this Agreement may result in irreparable harm to Disclosing Party, for which there may be no adequate remedy at law. Accordingly, Disclosing Party shall be entitled to seek injunctive relief in addition to any other legal remedies that may be available. 8. Governing Law and Jurisdiction This Agreement shall be governed by and construed in accordance with the laws of England. Any dispute arising from this Agreement shall be resolved in the courts of England. 9. Term and Termination This Agreement shall remain in effect until terminated by either party upon written notice to the other party. The obligations of confidentiality and non-use set forth in this Agreement shall survive termination for a period of 1 year from the date of termination of Recipient's employment with Erin's Photography. 10. Acknowledgment Recipient acknowledges that they have read and understand the terms of this Agreement, and agree to be bound by its terms. 11. Signatures This Agreement may be executed in counterparts and by electronic means. The parties agree that an electronic signature shall have the same legal effect as an original signature.
