Adding brand text, logos, and product copy overlays in accordance with brand guidelines. 10.2 SkyBrand Consumer Products Pvt Ltd must not: 1. Use the Images to create composite images featuring other brands or products not part of the original shoot. 3. CLIENT REPRESENTATIONS 14.1 SkyBrand Consumer Products Pvt Ltd represents that it has the legal capacity to enter into this agreement, that it will use the Images only within the Permitted Uses, that it will comply with all attribution requirements, and that it will not sublicense, resell, or transfer the Images to any third party. 15. INFRINGEMENT AND BREACH 15.1 Any use of the Images beyond the Permitted Uses, outside the Territory, or beyond the Term constitutes copyright infringement under the Copyright Act 1957 India. 15.2 In the event of infringement Arjun Kapoor Photography is entitled to seek injunctive relief, damages equivalent to three times the standard license fee for the unauthorized use, and recovery of legal costs. 15.3 Note: Copyright infringement remedies under the Copyright Act 1957 India including civil and criminal remedies must be confirmed with a qualified Indian attorney. 16. TERMINATION 16.1 Arjun Kapoor Photography may terminate this license with 30 days written notice if SkyBrand Consumer Products Pvt Ltd uses the Images beyond the Permitted Uses or fails to pay the License Fee within 15 business days of an invoice. 16.2 Either party may terminate for material breach with 30 days written notice and a 30-day cure period. 16.3 On termination SkyBrand Consumer Products Pvt Ltd must immediately cease all use of the Images and destroy all digital copies in its possession. 17. GOVERNING LAW AND DISPUTES 17.1 Laws of Maharashtra India and the Copyright Act 1957 govern this agreement. 17.2 Disputes proceed through direct negotiation then binding arbitration in Mumbai.
